Terms of service
1. Agreement to terms
By using this website and engaging the services of Tanuki Solutions Sdn. Bhd., trading as Tanuki Works (“we”, “our” or “us”), you agree to be bound by these Terms of Service. If you do not agree, please do not use this website or our services. These terms apply equally to work carried out under our sub-brand, JW Horizon Engineering.
2. Services
We provide bespoke web solutions, web and software consultation, and tailored software engineering. The scope, deliverables, timeline and pricing for each project are set out in a separate project proposal or agreement.
3. Project proposals and agreements
- Projects commence upon written acceptance of a proposal and receipt of the agreed deposit.
- Proposals are valid for 30 days from the date of issue unless otherwise stated.
- Changes to the agreed scope are documented as a Change Request, and may affect timeline and pricing.
4. Payment terms
- A deposit, typically 50%, is required before work commences.
- The remaining balance is due on completion, before final handover and deployment.
- All prices are quoted in Malaysian Ringgit (MYR) unless otherwise stated.
- Late payments may incur a fee of 1.5% per month on outstanding balances.
- We reserve the right to suspend work on any project with overdue payments.
5. Client responsibilities
To keep delivery on schedule, clients are expected to:
- Provide required content, assets and materials within the agreed timelines
- Give timely feedback and approvals at each milestone
- Designate a single point of contact for project communications
- Ensure provided content does not infringe third-party rights
6. Intellectual property
- On full payment, the client owns all custom design files, code and assets created specifically for their project.
- We retain the right to show project work in our portfolio and marketing materials unless agreed otherwise in writing.
- Third-party assets — stock images, fonts, plugins — remain subject to their own licences.
- We retain ownership of proprietary tools, frameworks and code libraries developed independently of the client’s project.
7. Revisions and approvals
- Each phase includes a defined number of revision rounds, set out in the proposal.
- Revisions beyond the agreed scope are billed at our standard hourly rate.
- Signed approval at a milestone constitutes acceptance of that phase’s deliverables.
8. Project timeline
Estimated timelines are given in good faith against the agreed scope. Delays caused by late feedback, content delivery or scope changes may extend the timeline. We will communicate any anticipated delay promptly.
9. Cancellation and refunds
- Either party may terminate a project with 14 days’ written notice.
- On cancellation, the client is responsible for payment for all work completed up to the date of termination.
- Deposits are non-refundable once work has commenced.
- Completed deliverables up to the point of cancellation are handed over on settlement of outstanding invoices.
10. Warranty and support
- We provide a 30-day warranty after launch covering bugs or issues in the delivered work.
- The warranty does not cover issues caused by third-party modifications, hosting environment changes or client-made alterations.
- Ongoing maintenance and support beyond the warranty period is available under a separate agreement.
11. Limitation of liability
We shall not be liable for indirect, incidental, special or consequential damages arising from the use of our services or this website. Our total liability for any claim shall not exceed the total fees paid by the client for the project in question.
12. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during a project. This obligation survives the end of the business relationship.
13. Force majeure
Neither party is liable for delay or failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, pandemics, government action or infrastructure failure.
14. Governing law
These terms are governed by and construed in accordance with the laws of Malaysia. Any disputes are subject to the exclusive jurisdiction of the courts of Malaysia.
15. Changes to terms
We may update these terms at any time. Changes are posted on this page with an updated revision date, and continued use of our services constitutes acceptance of the revised terms.
